Avry

Terms of Service

Last updated:

These terms are between you and Avry Technologies Inc, a Delaware corporation with offices at 11801 Domain Boulevard, 3rd Floor, Austin, Texas 78758 (“Avry”, “we”, “us”). They govern your use of avryoffers.com and the Avry application.

By creating an account or using Avry, you agree to them. If you do not agree, do not use the service.

1. Avry is in testing

Avry is an early product and is still being developed. Features may change, break or be removed. We are not marketing the service publicly yet, and you should treat it as a work in progress rather than a finished product.

2. What Avry is

Avry helps people buy a home without a buyer’s agent. It reads listings, analyses them, helps you decide what to offer, prepares offers and deal memos, obtains signatures, sends messages to the listing agent on your behalf, and keeps the documents and the record of the transaction in one place.

3. What Avry is not

Avry is not a real estate broker or agent and does not represent you. We are not a party to your transaction. We do not owe you the duties a licensed agent owes a client.

Avry does not give legal, financial, tax or investment advice. Nothing the service produces is advice, however it is worded.

Avry does not decide anything for you. The service prepares documents and suggests figures. You decide what to offer, what to accept, what to sign and when. Those decisions, and their consequences, are yours.

Avry does not guarantee its output is correct. It reads listings automatically and uses artificial intelligence, both of which make mistakes. Prices, property details, tax rates, calculations and drafted language may be wrong. Check anything that matters before you rely on it.

4. Who can use Avry

You must be at least 18 and able to enter into a binding contract. Avry is intended for use in the United States, and at present for property transactions in Texas.

5. Your account

You are responsible for your account and for anything done through it. Keep your sign-in details to yourself and tell us promptly if you think someone else has access.

Give us accurate information. Much of what Avry produces is built from what you tell it, and wrong inputs produce wrong documents.

6. Avry is free

There is no charge for using Avry. We do not take a fee, a commission or a share of any saving. There is no subscription, no trial that converts to a paid plan, and nothing to cancel.

Costs that belong to your purchase are still yours: lender fees, title and escrow, inspections, taxes and anything else a transaction involves. Avry does not pay them and does not collect them.

If we introduce charges in future, we will say so clearly in advance and you will be free to stop using the service.

7. How you may use Avry

Use it for your own property purchase, lawfully, and in a way that does not harm other people or the service.

You may not: use Avry on behalf of someone else as a business without telling us; attempt to reach another user’s information, documents or transactions; copy, scrape or resell the service or its output; interfere with the service or test its security without our written permission; use it to send anything unlawful, deceptive or harassing to anyone, including listing agents; or misrepresent who you are when contacting an agent or seller through the service.

We may suspend or close an account that breaks these rules.

8. Documents and signatures

Avry prepares real documents. An offer, a deal memo or a contract prepared through Avry can create binding obligations.

When you sign inside Avry, you are signing electronically and you agree that your electronic signature has the same effect as a handwritten one. We record how and when you signed, the document you were shown and technical details of your session, and that record is kept permanently so the signature can be relied on later.

Read what you sign. Avry drafted it; you are agreeing to it.

9. Messages sent on your behalf

Avry sends emails and text messages to listing agents and others about your transaction, identifying you as the buyer. By using the service you authorise us to do so.

Those messages describe the offer you have made. You are responsible for the accuracy of what you have told Avry, and for the offers you instruct it to send.

10. Other people’s services

Avry uses other companies to host the service, send messages, prepare contracts and provide artificial intelligence. Their handling of your information is described in our privacy policy. Where you sign a document through one of their systems, their terms also apply to that signing.

Listings and listing information come from public sources. We do not control that information and cannot guarantee it is accurate, complete or current.

11. Your content and ours

What you put into Avry stays yours: your documents, your figures, your messages and the offers you make. You give us permission to store it, process it and use it to operate the service for you, including sending it to the providers described in our privacy policy.

The service itself — the software, the interface, the Avry name and the material we publish — is ours, and using Avry does not transfer any of it to you.

12. Availability

We do not promise the service will be available, uninterrupted or free of faults. It is in testing, and it may be unavailable at times with or without notice.

We may change, suspend or discontinue any part of Avry. If we discontinue the service altogether we will give you reasonable notice and a means of retrieving your documents.

13. No warranties

Avry is provided as it is, with all faults. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement.

We do not warrant that Avry’s analysis is correct, that an offer prepared through it will be accepted, that a transaction will complete, or that using Avry will save you money.

14. Limitation of liability

To the fullest extent the law allows, Avry Technologies Inc is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost opportunities, or losses arising from a property transaction that did not happen, happened on terms you did not want, or happened on the basis of information the service got wrong.

Because the service is free, our total liability to you for any claim relating to Avry is limited to one hundred US dollars.

Nothing in these terms excludes liability that cannot lawfully be excluded.

15. Indemnity

You agree to indemnify Avry Technologies Inc against claims brought by a third party — including a seller, a listing agent or a brokerage — arising from your use of the service, the offers you made through it, or your breach of these terms.

16. Ending your use

You may stop using Avry at any time. To close your account and have its contents removed, email michael@avryoffers.com.

We may suspend or close your account if you break these terms or if we discontinue the service.

Sections that by their nature should survive — signature records, liability limits, indemnity and governing law — survive the end of your account.

17. Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in Travis County, Texas, and you and we each consent to that jurisdiction.

18. Changes

We may update these terms. When we do, we will change the date at the top. If a change is material we will tell you, and continuing to use Avry after that means you accept it.
